This Service Provider Agreement governs your participation as a legal or non-legal service provider on the Lexdot global marketplace. It outlines your rights, responsibilities, and compliance obligations when delivering services to clients through the Platform. Please review these terms carefully, as they form a binding agreement between you and Lexdot.
Service Provider Agreement
Effective Date: December 6, 2025
1. Introduction
This Agreement (“Agreement”) governs your participation as a Service Provider (“Provider”) on Lexdot (“Platform”). Lexdot is an AI-powered global legal marketplace that connects clients with licensed and non-licensed legal professionals. Lexdot itself is not a law firm and does not provide legal services.
By joining the Platform, you agree to provide services in compliance with this Agreement, all applicable laws, and professional regulations. Your participation allows you to offer your expertise, collaborate with clients and other legal professionals, and benefit from the tools and marketplace features Lexdot provides—while maintaining full responsibility for the legal services you deliver.
2. Scope of Services
Providers may only offer services in jurisdictions where they are licensed or authorized.
Providers may deliver support, research, drafting, and advisory services in accordance with their role.
Providers must not engage in unauthorized practice of law (UPL).
3. Professional Standards
Providers shall maintain up-to-date licensure and credentials.
All services must comply with applicable laws, professional ethics, and Lexdot policies.
Providers shall ensure client confidentiality, data protection, and secure handling of documents.
4. Payment Terms
Payments for services are processed through the Platform solely to facilitate secure transactions between Clients and Service Providers. Lexdot does not determine or negotiate the fees for legal or professional services offered on the Platform.
Service Providers receive their agreed compensation directly, and Lexdot may deduct platform-related charges as outlined in the applicable Fee Schedule, strictly for the use of the Lexdot digital marketplace and its associated features. These charges are technology and access fees only, and are not tied to legal services or outcomes.
Any late, disputed, or non-payment issues will be managed through Lexdot’s standard dispute resolution process, which is designed for marketplace transactions and does not involve the provision of legal advice.
5. Compliance and UPL
Providers must comply with local laws and Lexdot’s UPL Compliance Guide.
Misrepresentation of licensure, qualifications, or services is strictly prohibited.
6. Intellectual Property
Providers retain ownership of their pre-existing intellectual property.
Client deliverables created on the Platform belong to the client, unless otherwise agreed.
7. Liability and Indemnity
Providers are solely responsible for the services they provide.
Providers agree to indemnify Lexdot against claims arising from their services or breach of this Agreement.
Lexdot is not liable for any direct or indirect losses resulting from provider-client engagements.
8. Termination
Either party may terminate this Agreement with written notice.
Violation of UPL rules, Code of Conduct, or repeated client complaints may result in suspension or removal.
9. Governing Law & Dispute Resolution
This Agreement is governed by [Insert Jurisdiction].
Disputes shall first be attempted to resolve via internal Lexdot dispute resolution.
10. Miscellaneous
Entire Agreement: This Agreement constitutes the complete agreement between the Provider and Lexdot.
Amendments: Lexdot may update the Agreement with notice to the Provider.
Unauthorized Practice of Law
Lexdot UPL Compliance Guide
1. Purpose
The purpose of this Guide is to ensure all users of the Lexdot platform—including legal professionals, paraprofessionals, and support staff—adhere to the laws and regulations governing the practice of law in their jurisdictions. Lexdot functions as a global legal marketplace, not a law firm, and requires strict compliance with rules on licensure, supervision, confidentiality, and the unauthorised practice of law (UPL).
2. Scope
This Guide applies to:
* Licensed legal professionals using Lexdot to provide legal services.
* Non-licensed support personnel providing research, administrative, or other non-legal services.
* Clients engaging legal talent via the platform.
3. Key Principles
* Licensure Compliance: Only licensed individuals may provide services defined as the “practice of law” in their jurisdiction.
* Jurisdiction Awareness: Legal professionals must understand and comply with local rules regarding UPL.
* No Practice by Platform: Lexdot itself does not provide legal advice, representation, or services. It acts solely as a connector between Clients and Service Providers.
4. Definitions
* Legal Services: Activities requiring a licensed professional, such as legal advice, representation in court, drafting binding contracts, or preparing official filings.
* Non-Legal Services: Tasks such as document formatting, general research, legal education content, or administrative support.
5. Licensed vs. Non-Licensed Roles
* Licensed professionals may provide legal services within the limits of their jurisdiction.
* Non-licensed professionals may assist with non-legal tasks but must not offer legal advice or representation.
6. Supervision and Collaboration
* Non-licensed contributors working on tasks related to legal matters must be supervised by a licensed professional.
* Collaboration across jurisdictions requires awareness of local UPL restrictions; licensed professionals remain responsible for ensuring compliance.
7. Prohibited Activities
* Providing legal advice or representation without proper licensure.
* Representing clients in court or before governmental authorities without authorization.
* Engaging in fee-splitting arrangements where prohibited by local law.
* Misrepresenting licensure or credentials to Clients or the platform.
8. Platform Fees and Payments
* All platform fees relate solely to marketplace access, technology, and administrative services, not to legal services.
* Service Providers retain full control over their legal fees in compliance with jurisdictional rules.
9. Confidentiality and Data Protection
* All Users must maintain client confidentiality in accordance with professional standards.
* Personal and legal data processed through Lexdot must comply with applicable data protection laws (e.g., GDPR, CCPA).
10. Reporting and Enforcement
* Users must promptly report any suspected UPL or non-compliance on the platform.
* Lexdot reserves the right to suspend or remove users who violate this Guide.
* Persistent violations may lead to reporting to relevant licensing authorities.
